Terms and Conditions User Agreement
1. The Subject of the Agreement
This Service and License Agreement (“Agreement”) is between you (“you,” “your,” “client,” “user,” or “licensee”) and Commoditic (“Commoditic,” “we,” “our”). Together, you and Commoditic may be referred to as the “Parties.”
This Agreement governs your use of Commoditic’s database and API subscription services, additional database offers, and any other services offered through www.commoditic.com (the “Website”) (collectively, the “Services”).
Any use of the Website or Services—paid or free—constitutes your acceptance of this Agreement.
2. Service Description
2.1. API Subscriptions. Commoditic provides real-time and historical commodity price data feeds through APIs. Access is granted via unique digital keys (“API Keys”), issued upon creation of a subscription and automatically sent to the email address you provide us. Subscriptions remain active until you cancel them on your dashboard or send us a cancellation request over email, which in this case the email must be sent at least 5 days before the subscription is set to renew for another month.
2.2. Subscription Plans. Different subscription plans with varying limits and features are described on the Website. Clients are responsible for reviewing plan details before subscribing.
2.3. Standalone Databases. Commoditic also offers one-time purchases of standalone databases on request. Unless otherwise stated, these purchases grant indefinite access and multiple downloads. Since a standalone database service is provided on demand, any details about the content of the database or pricing will be communicated via email.
3. Acceptance of Terms
3.1. Your use of the Services is subject to this Agreement, the Privacy and Data Policy, the Service Level Agreement (“SLA”), and other policies displayed on the Website.
3.2. You must provide accurate and up-to-date contact and billing information. Commoditic is not responsible for losses due to outdated or incorrect client information.
3.3. By using the Services, you confirm that you have read and agreed to this Agreement.
3.4. Commoditic may update this Agreement from time to time. For material changes, we will notify you by email. Continued use after notification constitutes acceptance of the revised Agreement.
3.5. Only individuals of legal age and legal capacity, or those authorized on behalf of legal entities, may enter into this Agreement.
4. License
4.1. Commoditic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license (“License”) to use the Services under this Agreement.
4.2. This License covers Commoditic’s APIs, Standalone Databases, data, and API Keys. No ownership or intellectual property rights are transferred. All rights, title, and interest in Commoditic’s APIs, data, databases, trademarks, and brand features remain exclusively with Commoditic.
4.3. Unless expressly permitted in writing, you may not:
- Copy, scrape, resell, sublicense, or redistribute Commoditic data;
- Alter or remove proprietary notices;
- Reverse-engineer or extract source code;
- Misrepresent the origin of data;
- Use Services for unlawful purposes, or in high-risk activities (e.g., health, safety, environmental);
- Provide Services to unauthorized third parties.
4.4. The same restrictions apply to free trials or demo API keys we may provide you.
4.5. Commoditic may suspend or terminate your access immediately if it suspects a violation of this Agreement.
4.6. You agree to indemnify Commoditic for damages arising from unauthorized or unlawful use.
5. Limitation of Liability and Disclaimers
5.1. Commoditic provides the Services “as-is” and “as-available.”
5.2. Commoditic does not warrant that:
- Services will be uninterrupted, secure, or error-free;
- Data will be complete, accurate, reliable, or up-to-date at all times;
- Errors will always be corrected.
5.3. No Financial Advice. Data provided through the Services is for informational purposes only and Commoditic is not liable for any investment decisions made by any use of the Services. You are solely responsible for verifying the data before use.
5.4. To the fullest extent permitted by law, Commoditic is not liable for any indirect, incidental, consequential, or punitive damages (including lost profits, business, data, or goodwill).
5.5. Commoditic’s maximum liability under this Agreement shall not exceed the total fees you paid in the single month preceding the event giving rise to liability.
6. Access and Security
6.1. API Keys are personal to you and must not be shared with unauthorized third parties without Commoditic’s written consent.
6.2. You are responsible for safeguarding your API Key and for all activity under it. Commoditic is not liable for damages resulting from unauthorized use caused by your negligence.
6.3. If you suspect unauthorized use, please notify Commoditic immediately via email at support@commoditic.com
7. General Terms of Use
7.1. You must comply with all applicable laws and regulations.
7.2. You may not use the Services to promote or engage in illegal activity.
7.3. Commoditic may monitor use of its Services to ensure compliance and may suspend access without notice if violations are suspected.
7.4. This Agreement does not create any partnership, joint venture, or employment relationship.
7.5. Feedback provided to Commoditic may be used without obligation.
8. Pricing, Payments, and Refunds
8.1. Pricing is displayed on the Website and may change at Commoditic’s discretion. Price increases for your active subscription will be notified by email. By continuing to use the Services at the adjusted price, you will be deemed to have accepted the adjustment.
8.2. Subscriptions renew automatically each month unless canceled. Cancellation is possible anytime on user dashboards or by sending us an email request at least 5 days before the next renewal. Failure to send us the cancellation request email in time may result in the renewal of your subscription which in this case your payment obligation for the renewed month continues. Upon cancellation, you retain access until the end of the current paid term. Access stops once the term expires.
8.3. All fees are final and non-refundable, even if Services are not used.
8.4. VAT is excluded unless stated otherwise.
9. Confidentiality
Each Party agrees to keep the other’s confidential information secure and not disclose it unless required by law. Exceptions include information that is already public, independently developed, or obtained lawfully from third parties.
10. Indemnification
You agree to defend and indemnify Commoditic, its affiliates, and employees against claims, damages, or expenses arising from (i) Misuse of the Services, (ii) any violation of this Agreement by you or your end-users.
11. Force Majeure
Neither Party is liable for delays or failures caused by events beyond reasonable control (e.g., natural disasters, government actions, internet outages, war, pandemics). The Parties will use reasonable efforts to mitigate the effect of a force majeure event. If such an event continues for more than 30 days, both Parties may cancel upon written notice to the other Party.
12. Relationship of the Parties
The Parties are independent contractors. This Agreement does not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship among the Parties unless the Parties agree otherwise in writing.
13. Final Provisions
13.1. Commoditic encourages amicably solving any disputes between the clients and Commoditic and agrees to show its best efforts to find an amicable out-of-court solution in case of a dispute. In case such out-of-court solution is not agreed upon, this Agreement and any disputes that may arise from this Agreement or the usage of the Services are subject to Bulgarian Law and the courts in Bulgaria shall have exclusive jurisdiction.
13.2. Failure to enforce any provision does not waive rights. All rights of Commoditic are hereby reserved.
13.3. If any provision is invalid, the remainder of the Agreement remains in effect.
13.4. Commoditic may update these Terms to reflect legal requirements or changes in the Services. Material changes will be notified by email, but the latest version will always be available on our Website. If you do not agree to the changes, you must stop using the Services.
